LEGAL REVIEW DRAFT
Terms of service
Draft dated · Version review-2026-10-08
This draft describes the reviewed implementation and proposed terms. It is not a final policy or an agreement you are asked to accept. No effective date has been set. Contact, retention, rights-request procedures, and final contract provisions require review before publication.
Operator and draft scope
These proposed terms concern OmniQB, owned by Brotsky, LLC, a California limited liability company. They describe the intended conditions for authorized business use of integrations with QuickBooks® Online accounting software provided by Intuit®.
This page is a review draft. Visiting it, signing in, or using the existing application does not record acceptance of these draft terms. The final agreement and its acceptance process require separate approval.
Your authority and workspace
Use only accounts, organizations, and accounting records you are authorized to access. If acting for a business or client, obtain the authority and permissions needed to connect its information and share it with selected teammates and AI providers.
Keep account credentials, assistant credentials, and invitation links secure. Check invitation recipients and roles before sharing access. Owners and administrators manage company connections, team permissions, and assistant grants; each user remains responsible for acting within their authority.
Review access when team members leave or responsibilities change. Revoking a grant, disconnecting a company, leaving an organization, and signing out are distinct actions. An offline assistant grant may continue after sign-out until it expires or is revoked.
What the service does
OmniQB provides permission-scoped accounting reads through its workspace and MCP integrations. Sandbox and production connections are separate. Use test data in sandbox work and verify the selected organization, environment, company, and operation before making a request.
Accounting writes and payments are unavailable in the reviewed release. Proposed operations or feature descriptions are not a promise of availability and do not execute transactions. Attachment uploads are still under development and are not offered as a live service in this draft.
Results depend on source data, permissions, provider availability, query limits, and the requested reporting period. Results may be incomplete or outdated. Check any completeness indicators and verify important results against the source records.
Selected AI clients and professional judgment
You control which supported client receives access and which companies and operations it may request. The client and its provider handle delivered data under their own applicable terms and settings. Review those conditions before connecting, including whether your organization permits that sharing.
AI-generated interpretations can be wrong. OmniQB is a software connection service, not a substitute for accounting, tax, legal, or other professional advice. You are responsible for checking outputs before using them for business decisions, filings, or communications.
The draft privacy policy explains the reviewed information flows and revocation limits. Removing access does not recall information already sent to a client.
Use restrictions
Do not use OmniQB to access another organization’s information without authority, bypass permissions or environment boundaries, misuse credentials or invitation links, interfere with service availability, upload malicious content, or violate applicable law or the terms of a connected service. Do not present OmniQB as an Intuit-approved or affiliated product.
Share only data necessary for your authorized task. Do not place credentials or unnecessary sensitive records in assistant prompts or support communications.
Availability and access limits
Connections can stop working because of expired or revoked credentials, role changes, provider outages, rate limits, or disabled features. These draft terms do not establish an uptime guarantee or a service-level agreement.
Before final publication, the owner and legal reviewer must settle suspension and termination grounds, notice and remedy procedures, and what access or export remains available when service ends. These choices are not supplied by this draft.
Provisions reserved for legal review
No pricing, billing, cancellation, or refund provisions are established here. Warranty terms, liability allocation, any indemnity, governing law, venue, and dispute-resolution procedures remain undecided. This draft does not impose arbitration, a class-action waiver, a damages cap, or a waiver of statutory rights.
A verified contact channel and final notice, amendment, and acceptance procedures must be added before an effective agreement is published. The draft date above must not be treated as the effective date of that agreement.
